Peter R. Baronoff, Chairman and CEO Peter R. Baronoff serves as Chairman and CEO of Promise Healthcare, Inc. Baronoff brings more than 25 years of senior-level leadership to Promise Healthcare. Prior to co-founding Promise Healthcare, he was a successful business owner and executive for several international private and public companies. Baronoff held a leadership position in the Long-Term Acute Care Hospital industry serving as a former three-term president of the Acute Long-Term Hospital Association (ALTHA) (a membership of more than 300 long-term acute care hospitals in 29 states). He also served his community as a publicly elected member of the Boca Raton City Council. |

Howard B. Koslow, President and Chief Operating Officer
Howard B. Koslow has extensive experience in senior-level management at several prominent national certified public accounting, financial services, and real estate firms. Koslow has earned a national reputation as a skilled financial and operations manager and business re-structuring consultant. Koslow is a director of the Commercial Finance Association (CFA) and has been an active board member of several successful NASDAQ-listed companies. |

Lawrence Leder, Secretary and Chief Financial Officer
As Chief Financial Officer of Promise Healthcare, Inc. Lawrence Leder draws upon more than three decades of experience serving the financial needs of the healthcare industry. As a supervisory auditor for the U.S. General Accounting Office, Leder was in charge of the nationwide audit of the newly created Medicare program. He also provided testimony to the House Ways and Means Committee regarding Medicare and to several state rate-setting commissions on Medicaid. Leder left the GAO to start his own healthcare consulting practice. As consulting accountant for the Archdiocese of the City of New York, Leder worked with Cardinal Cook Health Center, St. Claire's Hospital, Cabrini Hospital, St. Vincent's Hospital, and Our Lady of Mercy Hospital. He also served as Healthcare Manager and Reimbursement Specialist for Coopers & Lybrand's New York Office. Later in private practice he focused on the valuation and collectability of medical receivables and provided expert counsel to banks and other asset-based lending institutions. |

Mark H. Dawson, MD, Chief Medical Officer Dr. Dawson brings more than two decades of medical and teaching expertise combined with seasoned healthcare industry-related business experience to Promise Healthcare. He received his medical degree in 1976 and an M.B.A. in 1995 from Louisiana State University. Dr. Dawson was re-appointed by Louisiana State Governor Bobby Jindal in 2009 as a member of the Louisiana State Board of Medical Examiners (LSBME) and now serves as the Vice President. Currently, he also serves as the Vice President of the Louisiana Academy of Family Physicians and is set to assume the Presidency in January 2010. Additionally, Dr. Dawson was honored with the prestigious 2002-2003 Preceptor of the Year Award presented by the Tulane University School of Medicine's Department of Family & Community Medicine. In addition to his oversight of medical operations at Promise Healthcare facilities, Dr. Dawson is a co-founder and an active partner in the private practice of Acadiana Family Medical Associates, LLC and maintains active hospital privileges at many hospitals throughout the State of Louisiana. Dr. Dawson has been widely honored by his peers for his medical expertise, professional ethics, and best practices management. In addition to his nationwide medical and industry memberships, Dr. Dawson is board certified by both the American Board of Family Medicine and American Board of Pediatrics, and is a clinical assistant professor of family practice at Louisiana State University, as well as Tulane University. In addition, Dr. Dawson has been elected to five consecutive terms as Coroner of Acadia Parish. |
